Interactive Program Features Foremost Experts on Second Requests under the Hart-Scott-Rodino Antitrust Improvements Act

According to the FTC, in fiscal year 2010, 1,166 transactions were reported under the HSR Act, representing about a 63% increase from the 716 transactions reported during that year. The Commission challenged 22 transactions, leading to 19 consent orders—one of which was obtained after the Commission filed an administrative complaint. The other three transactions were abandoned after the parties learned of the Commission’s concerns.
“In recent years, the amount of data and documents responsive to second requests has increased exponentially,” notes panelist Jeremy Morrison of the United States Federal Trade Commission. “Staff has recognized the increased burden this imposes on merging parties and will continue to work with them to find solutions that allow the agency to fully investigate potentially anticompetitive mergers, while at the same time, not imposing overly-burdensome compliance requirements on the parties.”
The format of the panel will include a combination of theoretical discussion and real-world experience sharing. Attendees of the forum will receive 2.5 hours of CLE credit applicable to Virginia and New York State Bar requirements.
